Allys HNL Pty Ltd – Affiliate Terms and Conditions for Box Deals / MNM Box Deals
Allys HNL Pty Ltd is the corporation that operates Box Deals and MNM Box Deals (collectively referred to as the “Site”). The following terms and conditions (this “Agreement” or the “Terms”) govern the participation of affiliates that direct potential customers to any website owned by Allys HNL Pty Ltd, specifically the Site, and where Allys HNL Pty Ltd has agreed to pay you, the affiliate (“you”), a commission for directing those potential customers to the Site resulting in a sale.
1. Acceptance
By submitting your application to become an affiliate of the Site, you agree to be bound by these Terms without modification.
2. Nature of the Relationship
The relationship between Allys HNL Pty Ltd and you will be that of independent contractors. In no event will any person employed by you be considered an employee of Allys HNL Pty Ltd or the Site. Allys HNL Pty Ltd is not a partner, joint venturer, or franchisee with you.
3. Ownership and Use of Materials
Allys HNL Pty Ltd retains complete ownership and all rights to any materials provided, including but not limited to legal documents, promotional material, email communications, and any other materials associated with the Site. You do not have the right to use or modify any materials without prior written consent from Allys HNL Pty Ltd. All use of these materials will cease upon termination of this Agreement.
4. Term
This Agreement shall be for an indefinite term and can be terminated immediately without cause by either party by providing notice to the other. Upon termination, you will discontinue all use of Allys HNL Pty Ltd materials and trademarks.
5. Order Timing and Commission Payment
5.1 Allys HNL Pty Ltd agrees to pay you a commission of 7% of all sales (excluding shipping fees) generated from traffic directed by you to the Site. A tracking cookie will be assigned to this traffic, provided the person has not previously visited the Site with an existing tracking cookie from another affiliate. Commission payouts will be conducted via Electronic Funds Transfer (EFT), as outlined in Section 5.2 below. To participate as an affiliate, it is necessary to have an active bank account to receive payments. All transactions will be communicated through our affiliate email: affiliate@boxdeals.co.za. You will receive detailed breakdowns for each order generated through your referral link or coupon code directly via email. This will simplify record-keeping and ensure you have clear visibility on all orders. Commissions must reach a threshold of R500.00 before payment; any balance below this will roll over until the threshold is met.
5.2 Orders from the 1st to the 20th of the month: Commissions for these orders will be calculated and paid by the end of that month.
Orders placed after the 20th: Commissions for these orders will roll over to the following month and be included in that month’s payment.
5.3 Affiliates are required to provide accurate account numbers to Box Deals for commission payouts. In the event that an incorrect account number is submitted, Box Deals shall not be held responsible for any discrepancies or issues resulting from the error.
6. Content Development
You are solely responsible for all content development and associated costs on your website or other platforms used to send traffic to the Site.
7. Confidentiality
You may gain access to non-public information from Allys HNL Pty Ltd that is confidential and proprietary (collectively “Confidential Information”). You agree to not use this Confidential Information for any purpose other than fulfilling your obligations under this Agreement and will not disclose it to any third parties without express permission. You must notify Allys HNL Pty Ltd immediately in writing of any misuse or unauthorized access to this information.
8. Return of Confidential Property
Upon request or upon termination of this Agreement, you will return all Confidential Information and any materials pertaining to Allys HNL Pty Ltd’s business, including copies or summaries.
9. Indemnification
You agree to indemnify and hold harmless Allys HNL Pty Ltd, its directors, officers, agents, and employees from any claims or damages, including reasonable attorney fees, arising from your actions related to the Program.
10. Limitations of Damages
Allys HNL Pty Ltd will not be liable for any consequential, special, or punitive damages arising from any performance or non-performance of this Agreement.
11. Trademarks and Other Intellectual Property
You acknowledge that all rights in any trademarks associated with Allys HNL Pty Ltd belong solely to the company. You may only use these trademarks as authorized during the term of this Agreement.
12. Media
You may not issue press releases regarding your participation in the affiliate program without prior written consent from Allys HNL Pty Ltd.
13. Conduct
You agree to conduct yourself in a manner that reflects well on Allys HNL Pty Ltd, avoiding any actions that could harm the company’s reputation.
14. Modification to Terms
Allys HNL Pty Ltd reserves the right to modify these Terms at any time, with significant changes communicated to you. Continued participation in the Program after modifications constitutes acceptance of the updated Terms.
15. Entire Agreement
This Agreement, along with the Site Terms and Conditions, constitutes the entire understanding between you and Allys HNL Pty Ltd regarding your participation in the Affiliate Program.
16. Assignment
This Agreement may not be assigned or transferred.
17. Waivers
No failure or delay in exercising any right under this Agreement will constitute a waiver of that right.
18. Severability
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force.
19. Governing Law
This Agreement shall be governed by the laws of the Republic of South Africa. You consent to the jurisdiction of the courts of the Republic of South Africa.
